FUNDRAISING: Whitestone REIT faced three shareholder complaints over Ares Merger disclosures before $1.7B take-private. Whitestone REIT disclosed that three shareholder complaints had been filed challenging disclosures related to its $1.7 billion acquisition by Ares-affiliated funds, which valued Whitestone shares at $19 each. In a July 1, 2026, SEC filing, Whitestone also reported receiving 12 demand letters alleging disclosure deficiencies. The complaints were filed in New York state courts in June. Whitestone denied the allegations and said it voluntarily supplemented its merger proxy disclosures to avoid litigation costs and potential delays. Shareholders approved the acquisition on July 9, and Ares completed the transaction on July 14, taking the shopping center owner private.

ANALYSIS: Private Equity acquires publicly traded REITs, including Whitestone and Sila. Private equity-backed investors have completed several major take-private transactions involving publicly traded real estate investment trusts. Ares Management completed its approximately $1.7 billion acquisition of Whitestone REIT in July 2026, paying $19 per share. Blue Owl Capital also completed its approximately $2.4 billion acquisition of Sila Realty Trust in July, paying $30.38 per share. The transactions illustrate private capital’s continued role in consolidating publicly traded real estate companies. Separately, Bain Capital and 11North Partners announced a capital raise of up to $1.6 billion in December 2025 to invest alongside their co-owned open-air retail platform, reflecting institutional investment in retail real estate, although that raise was not a REIT acquisition.
